In light of Federal court decisions, the Federal Trade Commission ("FTC" or "Commission") is taking final action to conform three of its recent rules to the results ordered by the courts. First, the Commission is revising its recently amended "Rule Concerning Recurring Subscriptions and Other Negative Option Programs" ("Negative Option Rule") to recodify the text of the Negative Option Rule as it existed before the effective date of the Commission's 2024 final rule amending it. Second, the Commission is withdrawing its final rule titled "Combating Auto Retail Scams Trade Regulation Rule" ("CARS Rule"). Third, the Commission is removing its "Non-Compete Clause Rule" ("Non-Compete Rule") from the Code of Federal Regulations.

Telemarketing Sales Rule Fees; Correction

September 5, 2025

The Federal Trade Commission ("Commission") published a document in the Federal Register of August 27, 2025, amending its Telemarketing Sales Rule ("TSR") by updating the fees charged to entities accessing the National Do Not Call Registry ("Registry") as required by the Do-Not-Call Registry Fee Extension Act of 2007. Shortly after publication, Commission staff learned the document contained an incorrect date. The Commission issues this correction to reflect the corrected date. The revised fees will become effective October 1, 2025, not October 1, 2024.

Children's Online Privacy Protection Rule

April 22, 2025

The Federal Trade Commission amends the Children's Online Privacy Protection Rule (the "Rule"), consistent with the requirements of the Children's Online Privacy Protection Act. The amendments to the Rule, which are based on the FTC's review of public comments and its enforcement experience, include one new definition and modifications to several others, as well as updates to key provisions to respond to changes in technology and online practices. The amendments are intended to strengthen protection of personal information collected from children, and, where appropriate, to clarify and streamline the Rule since it was last amended in January 2013.

Trade Regulation Rule on Unfair or Deceptive Fees

January 10, 2025

The Federal Trade Commission ("FTC" or "Commission") is issuing a final trade regulation rule entitled "Rule on Unfair or Deceptive Fees" ("rule" or "final rule") and Statement of Basis and Purpose addressing certain unfair or deceptive practices involving fees or charges for live-event tickets and short-term lodging: bait- and-switch pricing that hides the total price by omitting mandatory fees and charges from advertised prices; and misrepresenting the nature, purpose, amount, and refundability of fees or charges. The final rule specifies that it is an unfair and deceptive practice for businesses to offer, display, or advertise any price of live-event tickets or short-term lodging without clearly, conspicuously and prominently disclosing the total price. The rule also requires businesses to clearly and conspicuously make certain disclosures before a consumer consents to pay. The rule further specifies that it is an unfair and deceptive practice for businesses to misrepresent any fee or charge in any offer, display, or advertisement for live-event tickets or short-term lodging.

Telemarketing Sales Rule

Negative Option Rule

November 15, 2024

The Federal Trade Commission ("FTC" or "Commission") issues final amendments to the Commission's trade regulation "Rule Concerning Use of Prenotification Negative Option Plans," retitled the "Rule Concerning Recurring Subscriptions and Other Negative Option Programs" ("Rule," "final Rule" or "Negative Option Rule"). The final Rule now applies to all negative option programs in any media. This document also contains the text of the final Rule, the Rule's Statement of Basis and Purpose ("SBP"), and a final regulatory analysis.

Premerger Notification; Reporting and Waiting Period Requirements

November 12, 2024

The Federal Trade Commission ("FTC" or "Commission"), with the concurrence of the Assistant Attorney General, Antitrust Division, Department of Justice ("Assistant Attorney General" or "Antitrust Division") (together the "Agencies"), is issuing this final rule and Statement of Basis and Purpose ("SBP") to amend the Premerger Notification Rules (the "Rules") that implement the Hart-Scott-Rodino Antitrust Improvement Act ("the HSR Act" or "HSR"), including the Premerger Notification and Report Form for Certain Mergers and Acquisitions ("Form") and Instructions to the Notification and Report Form for Certain Mergers and Acquisitions ("Instructions"). The final rule requires parties to transactions that are reportable under the HSR Act to provide documentary material and information that are necessary and appropriate for the Agencies to efficiently and effectively conduct an initial assessment to determine whether the transaction may violate the antitrust laws and whether to issue a Request for Additional Information ("Second Request") as provided by the HSR Act. In addition, the final rule implements certain requirements of the Merger Filing Fee Modernization Act of 2022 ("Merger Modernization Act") and ministerial changes to the Rules as well as the necessary amendments to the Instructions to effect the final changes.

The Federal Trade Commission ("FTC" or "Commission") is issuing this final rule and Statement of Basis and Purpose ("SBP") relating to certain specified unfair or deceptive acts or practices involving consumer reviews or testimonials. This final rule, among other things, prohibits selling or purchasing fake consumer reviews or testimonials, buying positive or negative consumer reviews, certain insiders creating consumer reviews or testimonials without clearly disclosing their relationships, creating a company-controlled review website that falsely purports to provide independent reviews, certain review suppression practices, and selling or purchasing fake indicators of social media influence.

Horseracing Integrity and Safety Authority Oversight

August 16, 2024

The Federal Trade Commission ("FTC" or "Commission") is issuing a final rule ("Final Rule") regarding oversight of the Horseracing Integrity and Safety Authority ("Authority"). The Final Rule includes new oversight provisions to ensure that the Authority remains publicly accountable and operates in a fiscally prudent, safe, and effective manner.

Ophthalmic Practice Rules (Eyeglass Rule)

July 26, 2024

The Federal Trade Commission ("FTC" or "Commission") is publishing a final rule to implement amendments to the Ophthalmic Practice Rules ("Eyeglass Rule" or "Rule"). These amendments require that prescribing eye care practitioners obtain a signed confirmation after releasing an eyeglass prescription to a patient and maintain each such confirmation for a period of not less than three years. The Commission is permitting prescribers to comply with automatic prescription release via electronic delivery if they first obtain verifiable affirmative consent from the patient and maintain a record of such consent for a period of not less than three years. The amendments further clarify that the presentation of proof of insurance coverage shall be deemed to be a payment for the purpose of determining when a prescription must be provided. Finally, the Commission amends the term "eye examination" to "refractive eye examination" throughout the Rule.

Disclosure Requirements and Prohibitions Concerning Franchising

The Federal Trade Commission ("FTC" or "Commission") announces revised monetary thresholds for three exemptions from the Franchise Rule. The FTC is required to adjust the size of the monetary thresholds every fourth year based upon changes in the Consumer Price Index for All Urban Consumers ("CPI-U") published by the Department of Labor.

Trade Regulation Rule Relating to Power Output Claims for Amplifiers Utilized in Home Entertainment ...

June 12, 2024

The Federal Trade Commission ("FTC" or "Commission") issues final amendments to its Trade Regulation Rule Relating to Power Output Claims for Amplifiers Utilized in Home Entertainment Products ("Amplifier Rule" or "Rule"). The amendments require sellers making power-related claims to calculate power output using uniform testing methods to allow consumers to easily compare amplifier sound quality; prescribe disclosure language that improves differentiation between power output claims that comply with the Rule's testing methods and those that do not; and modernize as well as clarify Rule language considering the foregoing modifications. Additionally, the amendments formalize prior Commission guidance on applying the Rule to multichannel amplifiers.

Health Breach Notification Rule

May 30, 2024

The Federal Trade Commission ("FTC" or "Commission") is amending the Commission's Health Breach Notification Rule (the "HBN Rule" or the "Rule"). The HBN Rule requires vendors of personal health records ("PHRs") and related entities that are not covered by the Health Insurance Portability and Accountability Act ("HIPAA") to notify individuals, the FTC, and, in some cases, the media of a breach of unsecured personally identifiable health data.

Non-Compete Clause Rule

May 7, 2024

Pursuant to the Federal Trade Commission Act ("FTC Act"), the Federal Trade Commission ("Commission") is issuing the Non- Compete Clause Rule ("the final rule"). The final rule provides that it is an unfair method of competition for persons to, among other things, enter into non-compete clauses ("non-competes") with workers on or after the final rule's effective date. With respect to existing non-competes--i.e., non-competes entered into before the effective date--the final rule adopts a different approach for senior executives than for other workers. For senior executives, existing non-competes can remain in force, while existing non-competes with other workers are not enforceable after the effective date.

Telemarketing Sales Rule

The Federal Trade Commission ("FTC" or "Commission") adopts amendments to the Telemarketing Sales Rule ("TSR") that, among other things, require telemarketers and sellers to maintain additional records of their telemarketing transactions, prohibit material misrepresentations and false or misleading statements in business to business ("B2B") telemarketing calls, and add a new definition for the term "previous donor." These amendments are necessary to address technological advances and to continue protecting consumers, including small businesses, from deceptive or abusive telemarketing practices.

Combating Auto Retail Scams Trade Regulation Rule

February 22, 2024

On January 4, 2024, the Federal Trade Commission ("FTC" or "Commission") published a Final Rule in the Federal Register, titled "Combating Auto Retail Scams Trade Regulation Rule" ("CARS Rule," "Rule," or "Final Rule"), in order to curtail certain unfair or deceptive acts or practices by motor vehicle dealers. The CARS Rule was to become effective on July 30, 2024. Because of a pending legal challenge, this document announces that the effective date of the Final Rule is delayed until further notice.

The Federal Trade Commission ("Commission" or "FTC") is amending the Hart-Scott-Rodino ("HSR") Premerger Notification Rules ("Rules") that require the parties to certain mergers and acquisitions to file reports with the FTC and the Assistant Attorney General in charge of the Antitrust Division of the Department of Justice ("the Assistant Attorney General") (together the "Antitrust Agencies" or "Agencies") and to wait a specified period of time before consummating such transactions. In a separate document published elsewhere in this issue of the Federal Register, the Commission is announcing the annual adjustment of the filing fee thresholds and amounts required by the Merger Filing Fee Modernization Act of 2022 ("2022 Amendments"), contained within the Consolidated Appropriations Act, 2023. In this document, the Commission amends Parts 801 and 803 of the Rules to make the ministerial changes required to reflect the annual adjustment of the filing fee thresholds and amounts required by the 2022 Amendments.

The Federal Trade Commission ("FTC" or "Commission") is issuing this Combating Auto Retail Scams Trade Regulation Rule ("CARS Rule," "Rule," or "Final Rule") and Statement of Basis and Purpose ("SBP") related to the sale, financing, and leasing of covered motor vehicles by covered motor vehicle dealers. The Final Rule, among other things, prohibits motor vehicle dealers from making certain misrepresentations in the course of selling, leasing, or arranging financing for motor vehicles, requires accurate pricing disclosures in dealers' advertising and sales communications, requires dealers to obtain consumers' express, informed consent for charges, prohibits the sale of any add-on product or service that confers no benefit to the consumer, and requires dealers to keep records of certain advertisements and customer transactions.

Energy Labeling Rule; Correction

The Federal Trade Commission ("Commission") published a document in the Federal Register of October 12, 2022, concerning the Energy Labeling Rule. After publication, Commission staff learned that the document contained incorrect numbers in water heater tables, refrigerator tables, and regarding propane in certain appendices. Staff also learned that certain language in the Energy Labeling Rule regarding water heater size and type categories requires replacement to reflect accurate categories for water heaters under the Department of Energy conservation standards. The Commission is issuing this correction to reflect the corrected information.

Standards for Safeguarding Customer Information

The Federal Trade Commission ("FTC" or "Commission") is issuing a final rule ("Final Rule") to amend the Standards for Safeguarding Customer Information ("Safeguards Rule" or "Rule"). The Final Rule contains five main modifications to the existing Rule. First, it adds provisions designed to provide covered financial institutions with more guidance on how to develop and implement specific aspects of an overall information security program, such as access controls, authentication, and encryption. Second, it adds provisions designed to improve the accountability of financial institutions' information security programs, such as by requiring periodic reports to boards of directors or governing bodies. Third, it exempts financial institutions that collect less customer information from certain requirements. Fourth, it expands the definition of "financial institution" to include entities engaged in activities the Federal Reserve Board determines to be incidental to financial activities. This change adds "finders"--companies that bring together buyers and sellers of a product or service--within the scope of the Rule. Finally, the Final Rule defines several terms and provides related examples in the Rule itself rather than incorporates them from the Privacy of Consumer Financial Information Rule ("Privacy Rule").

Privacy of Consumer Financial Information Rule Under the Gramm-Leach-Bliley Act

December 9, 2021

The Federal Trade Commission is amending its Privacy Rule to revise the rule's scope, to modify the rule's definitions of "financial institution" and "Federal functional regulator," and to update the rule's annual customer privacy notice requirement. The amendments also remove certain examples in the rule that apply to financial institutions that now fall outside its scope. This action is necessary to conform the rule to the current requirements of the Gramm- Leach-Bliley Act ("GLBA"), as amended by the Dodd-Frank and FAST Acts, and the Commission's revisions to the Safeguards Rule, which are being announced simultaneously through a separate document published elsewhere in this issue of the Federal Register.

The Federal Trade Commission ("FTC" or "Commission") published a supplemental notice of proposed rulemaking ("SNPRM") in the Federal Register on March 1, 2024, titled "Trade Regulation Rule on Impersonation of Government and Businesses" ("Rule"), which requested additional public comment on whether the Commission should revise the title of the Rule, add a prohibition on the impersonation of individuals, and extend liability for violations of the Rule to parties who provide goods and services with knowledge or reason to know that those goods or services will be used in impersonation schemes that violate the Rule.
